Statutes of the association „EDUCAT Germany e.v.“ 

          §1 Name, location, fiscal year
(1) The name of the association is “EDUCAT Germany e.V.”. It is entered into the association register on the register sheet VR 24950.
(2) The fiscal year is the calendar year.
(3) The association is located in Hamburg, Germany. 

          §2 Purpose of the association, charitability

(1) The association exclusively and directly pursues charitable purposes according to the section “tax-privileged purposes” of the tax code.
(2) Purpose of the association is the facilitation of education and educational infrastructure in developing countries, structurally weak areas, at-risk population and otherwise disadvantaged groups.
(3) The statutory purpose is realized especially through the systematically search, evaluation and facilitation of charitable or governmental initiatives and organizations in the target destinations, for example schools, universities or charitable associations. The facilitation includes development of concepts and guidelines, mediation within networks, exposition at events and in media, as well as fundraising for the local educational project.
(4) The association acts unselfishly; it does not primarily pursue self-profitable purposes. Means of the association may only be used for statutory purposes. The members do not receive allowances from means of the association. No person may benefit from expenses or disproportional compensations, that are not covered in the statutory purpose. 

          §3 Membership and membership fees
(1) Any natural person that is willing to contribute to the statutory purpose can acquire membership on application. The board of directors decides on all applications.
(2) A membership in our association is open to the general public. Membership applications are reviewed by an association committee. A rejection of a membership application must be justified.
(3) Members pay an annual fee. Amount and maturity are decided by the membership council with simple majority. Members, who are not part of the board of directors, may be freed from the annual fee by the board of directors if valid reasons are provided.

          §4 Termination of membership
(1) Membership is terminated by voluntary withdrawal or exclusion for legal or statutory reasons.
(2) Withdrawal needs to be declared to the board of directors in written form. Withdrawal can only occur at the end of the year and must be declared to board of directors latest by September 30.
(3) Any member can be excluded from the association with immediate effect by decision of the board of directors if the member violates the interests of the association or another important reason, especially such as behavior harmful for the association, provided that any cause for expulsion must figure, duly accredited, in the corresponding report and cannot be resolved without the interested party having a hearing, as established.

          §5 Bodies of the association
The bodies of the association are – the membership council – the board of directors

          §6 The board of directors
(1) The board of directors consists of – the first chair – the second chair
(2) The association is represented judicially and extrajudicially by the board of directors each by oneself according to § 26 BGB.
(3) The board of directors is voted by the membership council for the duration of one year. A relative majority is sufficient for election. The different bodies of the association must be filled by different persons. They stay in office until reelection. The premature dismissal of members of the board of directors may only occur for important reasons.
(4) The board of directors is responsible for:

  1. Management
  2. Executions of resolutions of the membership council
  3. Administration of the finances of the association
  4. Creating a budget plan for each year
  5. Accounting
  6. Creation of an annual report
  7. Preparation and
  8. Convocation of the membership council

(5) Chair meetings are convocated by the first chair by email, mail or phone. The board of directors decides with simple majority. It is quorate independent of the number of participating chairs. In case of tie, the vote of the first chair decides. Voting proxies are permitted. The board of directors is also quorate when not all positions of the board are filled.
(6) The board of directors may give itself rules of procedures that handle the tasks of each chair.
(7) The board of directors bears liability to the association and its members only in the case of purposeful violations and gross negligence.

          §7 Compensation of the board of directors, reimbursements
(1) The members of the board of directors generally work on a voluntary basis. They can receive an adequate blanket reimbursement for time and work expenditures if required. Whether such a reimbursement is granted and its amount is decided by the membership council. The board of directors is responsible for concluding employment contracts with chairs according to § 26 BGB (§ 6 Section 2 of the statutes).
(2) Financial costs will be refunded according to § 670 BGB on presentation of proof of payment.

          §8 Auditing
The membership council elects an auditor, who is not a member of the board of directors, for the duration of two years. The auditor executes the auditing of the association and reports in the next membership council.

          §9 Proper membership council
(1) The proper membership council must be held at least annually. The membership council is convocated by the board of directors four weeks in advance. The invitation must include the agenda as well as the subject matters of the pending resolutions. The membership council is quorate independent of the number of attending members.
(2) The membership council is responsible for

  1. The election and dismissal of the board of directors
  2. The election of the auditor
  3. The approval of the budget plan created by the board of directors for the upcoming fiscal year
  4. The reception of the annual report and exoneration of the board of directors
  5. The decision on the amount and maturity of the membership fee
  6. The resolution on statutory changes and the dissolution of the association

(3) Resolutions of the membership council require simple majority unless regulated otherwise by law or statutes. Voting proxies are not permitted. On request, the membership council decides whether elections are held secretly. In elections, the candidate with the most votes wins. In case of a tie, a run-off between the tying candidates is held.
(4) Changes of the statutes and the resolution of the association require a ¾ majority.
(5) The membership council is led by the first chair. If the first chair is absent, the membership council elects a chairman of the meeting. The chairman of the meeting assigns the protocol keeper.

          §10 Protocol of resolutions
The resolutions of the membership council are protocolled. The chairman of the meeting and the protocol keeper have to sign the protocol.

          §11 Extraordinary membership council
(1) An extraordinary membership council must be convocated if this seems required in the interest of the association or when the convocation of at least 20% of the members is demanded in written form under declaration of purpose and reasons.
(2) §9 and §10 of the statutes hold for extraordinary membership councils.

            §12 Changes of the statutes by the board of directors
The board of directors can conclude changes of the statutes that are required by a court or authority.

            §13 Dissolution of the association, use of funds
In case of the dissolution of the association or when charitability ceases, the means of the association fall to the German Committee for UNICEF e.V., which has to directly and exclusively use them for charitable, benevolent, or ecclesiastical purposes.
